General Terms & Conditions §1 Validity, exclusivity For the acceptance and publication of advertisements, the following terms & conditions apply exclusively. Upon initial formation of contract it is agreed between the publisher and the client that these terms & conditions will also underlie all subsequent transactions including those which are concluded verbally or by telephone. General terms & conditions of business of the client which contradict our terms & conditions, differ from them or contain supplementary regulations shall under no circumstances become a contractual component. This shall apply also in the event of our executing, without reservation, the advertisement order of the client in awareness of terms & conditions of the placer of the order which oppose, or differ from, our terms & conditions of business. amounting to 8 percentage points above the basic interest rate. For the rest, in the event of default of payment the publisher will be entitled to withhold further advertisements and service provisions until full settlement of the open claims. (5) Payments must be rendered free of charges and expenses to the publisher's bank accounts indicated on the invoice. (6) Payments will be offset even under a stipulation of the client to the contrary according to paragraph 366 section 2 German Civil Code exclusively. (7) All rates are understood plus sales tax at the statutory amount on the day of invoicing. §2 §3 Offer, formation of contract (1) Orders for advertisements can be submitted in person, by telephone, in writing, via email or via Internet. The publisher will not be held liable for transmission errors when orders or changes are submitted by telephone. (2) Our indications are subject to change. No contract will arise until we have sent our written order confirmation, which can also be transmitted via email. The client has no claim to exclusivity for his advertisement, certain advertising sectors or objects, unless this has been agreed explicitly in writing. (3) The publisher is entitled to reject advertisement orders, including individual claims within the context of overall completion, within its proper discretion. This shall apply in particular if the content of these advertisements is in breach of laws or public authority stipulations or if the German Advertising Standards Council objects in a complaints procedure that publication of these advertisements is unreasonable for the publisher because of content, origin or technical form, or that supplements as a result of format or presentation may prompt the impression in the reader of being a component of the newspaper or contain thirdparty advertisements. The publisher must state the rejection without delay once it has become aware of the contents concerned. (4) The publisher reserves the right to postpone publication dates or to alter contents and topics if this is required or pertinent. The publisher will not be held liable for acceptance of the advertisement in certain placements or in certain issues, unless the place of publication has been assured explicitly in writing. Rates, conditions of payment, rate reduction (1) The rate for publishing an advertisement is based upon our presently valid list of rates. In the event that the advertisement rates list is altered, the new terms & conditions will apply for ongoing contracts also. (2) The discounts described in the advertisement rates list are granted only for the client and only for the advertisements published within one year (advertising year). Repeat discounts will apply only within one advertising year. Unless agreed otherwise, the period will begin upon publication of the first advertisement. (3) In the event of a reduction of the ordered advertisement volume at the request of the client, the publisher will be entitled to abolish discounts already granted, therefore to invoice subsequently the nondiscounted rate. In the event of an expansion of the order there shall be no claim to a retroactive discount for the advertisements already ordered. Potential discounts on ongoing advertisements and for subsequent advertising years shall become valid only if they have been confirmed in writing by the publisher beforehand. (4) The invoiced amount shall fall due for payment net (without deduction) within 14 days of date of invoice. In the event of default in payment the publisher will be entitled to demand default interest §4 Performance of contract (1) Advertisement orders must be completed within one year of formation of contract, starting with the publication of the first advertisement. The publisher will not be held liable for delays and missed deadlines due to acts of god or to operational malfunctions not imputable to it, including at printers' or subcontractors'. In such cases the deadline for performance will be extended by the period until remedy of the malfunction. (2) The client is responsible for timely delivery of the advertisement text and impeccable copies (data). The advertising deadline stipulated by the publisher in the order confirmation shall be decisive. The publisher will demand immediate substitution for recognisably unsuitable or damaged copies. Copies will be sent back to the client only on special request. The mandatory retention period will end six months following completion of the order. (3) If the client appoints the publisher to produce copies for advertisements, he must reimburse the costs incurred for this separately. Costs for considerable changes to originally agreed performances and order copies, films or drawings must be borne by the client. (4) Proofs will be supplied only on explicit request. The client will bear the responsibility for the correctness of the returned proof. If the proof is not sent back to the publisher in compliance with the deadline, approval for printing shall be deemed granted. (5) The publisher will supply full specimen copies on request only for advertisements of three quarters of a page and longer. For the rest, the publisher will deliver only one advertisement confirmation, which also may be transmitted in electronic form. (6) Text advertisements which, due to their design, are not recognisable immediately as advertisements will be made clear as being publicity by means of a supplementary note. (7) The advertising deadlines and publication dates shown in the rates list are nonbinding for the publisher. The publisher is free to adjust advertising deadlines and publication dates at short notice according to production flow. (8) Advertisement orders can be cancelled only in writing, including by fax or email, until the day of ad close. If the advertisement has been submitted for printing already, the client will owe the full advertisement rate. In the event of cancellation the publisher will be entitled to demand the reimbursement of all costs accruing up until the cancellation and of the lost profit according to statutory provisions. In the stead of an itemised list the publisher, in the event of cancellation, will be able to assert lumpsum damage compensation of 50 % of the advertisement rate. In the event of the withholding of advertisements due to default of payment (numeral 3.4) the client will owe, however, the full remuneration and the publisher will be released from guarantee claims raised because of the withheld advertisements. (9) The client is responsible for the content and the legal permissibility of the advertisement contents. He releases the publisher from all thirdparty claims based on the published contents of the advertisement, in particular from claims due to the breach of copyright and intellectual property rights. The

Guarantee for defects (1) Unless defined otherwise in the following, the liability of the publisher is based on the statutory provisions for business people prevailing in the Federal Republic of Germany at the time of formation of the contract. (2) The publisher guarantees typographically impeccable reproduction of advertisements in accordance with printing on production paper. The prerequisite is the sending of suitable copies (cf. details in the rates list). No guarantee is given for the acceptance of advertisements in certain numbers or issues or in certain placements. (3) In the case of digitally transmitted copies for colour advertisements, a colour proof must be supplied by the client at the same time. The publisher will endeavour to reproduce the print colours as well as possible. It does not guarantee against slight differences for technical reasons or due to material properties. Compensation claims on the part of the client due to potential colour differences are ruled out. (4) The release declaration confirmed by the client will be decisive for the order. Guarantee claims on the part of the client are restricted to subsequent performance and rate reduction according to the benchmark of section 6 of these terms & conditions of business (liability). Defects in the advertisement must be protested by the client three months at the latest following publication of the corresponding print and arrival of a specimen copy or specimen extract (limitation period). In the event of defective printing of an advertisement, despite timely supply of impeccable copies and timely complaint, the client will be able to demand the printing of an impeccable replacement advertisement (subsequent performance). The claim to subsequent performance is ruled out if this is associated with disproportionate costs for the publisher. (5) Strictly no claim to a rate reduction can be derived from a reduction in circulation compared with the announced prediction. Such a claim shall arise only if, in the overall average of the insertion year starting with the first advertisement, the average circulation for the past insertion year indicated in the rates list or by other means is fallen short of by at least 25%. In this event (considerable reduction in circulation) the advertisement rate for the period of the reduced circulation will be reduced proportionately in accordance with the rate of reduction, at the most, however, by 50%. (6) If potential defects in the copies are not recognisable immediately, but become evident only during the printing process, the client shall have no claims to damage compensation in the event of unsatisfactory printing. The same shall apply if the client fails to observe the recommendations of the publisher concerning production and transmission of digital copies. The publisher will endeavour to present publisher is not obliged to check whether an advertisement order is detrimental to the rights of third parties. If the publisher is obliged, through court injunction, to print a counterstatement based on the inserted advertisement for example, the client for this advertisement must bear the costs of printing according to the valid advertisement rates list and reimburse to the publisher the costs of the infringement proceedings, in particular court and lawyer fees. The publisher will instruct the client concerning such proceedings without delay. (10) Advertising agencies are obliged to keep to the publisher's rates list in their bids, contracts and settlements in respect of advertisers. The agency fee granted by the publisher is calculated from the client net, therefore after deduction of discount, bonuses and discount for defects. It will fall due for payment only after arrival of the advertising invoice rate at the publisher's. The agency fee will not be granted on private rates. It will be paid only to advertising agencies recognised by the publisher under the condition that the order is placed directly by the advertising agency, that the agency is responsible for acquiring the finished and printready copies, and that a registration of trade as an advertising agency is in place. The publisher is free to reject orders from advertising agencies if there are doubts as to the professional performance of agency activity or as to the creditworthiness of the advertising agency or of the procured advertising clients. The advertising agency will be liable for the advertising costs in addition to the advertising client as overall debtor. In the event of default of payment, the agency will be obliged, like a client, to pay the invoiced amount (under deduction of the fee). §6 §7 Liability (1) Damage compensation claims on the part of the client against the publisher are, regardless of the legal grounds in particular due to default, the breach of contractual obligations, the breach of thirdparty commercial intellectual property rights and tortious acts restricted to subsequent performance and rate reduction. This restriction does not apply for damage compensation claims due to tortious injury to life, limb or health based on a negligent breach of obligation on the part of the publisher or on a deliberate or grossly negligent breach of obligation on the part of its legal representatives and agents. The publisher will be liable only for predictable damage according to conventional contracts. As far as the publisher is liable in principle, the damage compensation claim will be limited in terms of amount to the net advertisement rate agreed for the respective individual order. Compensation for indirect damage, unpredictable subsequent damage, for lost profit, lost earnings, lost business opportunities, damage based on damaged reputation, reduction of goodwill or other comparable damage is excluded mutually for both parties to the contract. This liability limitation does not apply in the event of intent or if the event triggering the damage is caused grossly negligently by the publisher, its representatives or agents. All damage compensation claims against the publisher will lapse 12 months after the point in time at which the client became aware, or could have become aware, of the circumstances justifying the claim. This does not apply for claims arising from illegal and deliberate acts. (2) In the event of acts of god and labour dispute measures not attributable to the publisher, the publisher will be released from the obligation to perform the order; no damage compensation claims shall arise because of this. the advertisement as well as possible. (7) The client is responsible for ensuring that the transmitted files are free of computer viruses. Files and emails which are infected with computer viruses can be deleted by the publisher even prior to uploading to its systems, without the client's entitlement to raise claims arising from this. In addition, the publisher reserves the right to raise claims for compensation if the computer viruses cause further damage at the publisher's. (8) For material provided by the client (bound inserts, supplements, etc.) the publisher assumes no guarantee for the correctness and completeness of the quantities or qualities described as supplied. §8 Data protection Within the scope of its business relationships the publisher will save customer data with the aid of electronic data processing according to the statutory stipulations of the German Federal Data Protection Act. The publisher will observe all statutory data protection and confidentiality provisions in relation to confidentially shared data and information and also place its employees under a corresponding obligation. Changes to / deletions of client data will be performed immediately once the publisher has been informed. Final clauses (1) Changes and supplements to the stipulations contained within these terms & conditions will require the written form plus agreement in the contract between publisher and client in order to be effective. (2) The assignment of claims arising from the advertisement contract by the client is not permitted. (3) The law of the Federal Republic of Germany applies. Place of execution for all claims arising from the contract formed between the client and the publisher is Wiesbaden. Exclusive place of jurisdiction for all disputes is Wiesbaden. (4) Should, for legal reasons, individual points of these terms & conditions of business be or become ineffective, a clause must be inserted in substitution which matches the parties' economic objectives the most closely.
